1. INTRODUCTION

These Terms and Conditions (these “Terms”) govern the use of the LookCard website, including all pages within the website (collectively, the “Website”), as well as your participation, if applicable, in the LookCard Community Partnership Program (the “Program”) as an Agent (the “Agent”). By accessing or using the Website or entering into the Program, you expressly accept all provisions of these Terms in full. If you object to any of these Terms, you must not use the Website or participate in the Program. The Website and Program are not for use by minors (defined as those under 18 years of age). You must not use the Website or participate in the Program if you are a minor.

2. DEFINITIONS AND INTERPRETATION

Unless the context requires otherwise, the following terms have the meanings set forth below:

“Agreement” These Terms and Conditions, including any annexes or appendices.
“Business Day”Any day (excluding Saturdays, Sundays, public holidays, or days impacted by severe weather conditions as defined under Hong Kong law) when banks in Hong Kong are open for business.
“LookCard Credit Card”A Visa-network payment card allowing purchases using a credit line collateralized by digital currencies, repayable per the Company’s terms
“Card Referral Fee”Compensation payable to an Agent for each successful card activation under the Program.
“Digital Currency”Electronic money or cryptocurrency accepted by LookCard for repayments or transactions.
“HKD”Hong Kong Dollar, the official currency of Hong Kong.
“Program”The Community Partnership Program under which Agents promote LookCard’s products and earn incentives.
“Your Content”Any audio, video, text, images, or other material you submit to the Website or Program.

3. WEBSITE USE

3.1. Intellectual Property Rights
Other than content you own and choose to include, LookCard and/or its licensors own all intellectual property rights in the Website and its materials. You are granted a limited, non-exclusive license to view the Website’s content, subject to these Terms.

3.2. Restrictions
You are prohibited from:

  • Selling, sublicensing, or commercializing Website material;
  • Using the Website in a manner that damages it or impacts access;
  • Violating applicable laws or causing harm to any person or entity through Website use;
  • Engaging in data mining, harvesting, or extraction activities;
  • Accessing restricted areas without authorization. User IDs and passwords must remain confidential.

 

3.3. Your Content

By submitting Your Content to the Website, you grant LookCard a non-exclusive, worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, publish, translate, and distribute it across all media. Your Content must be original and non-infringing. LookCard may remove your Content at its discretion without notice.

4. COMMUNITY PARTNERSHIP PROGRAM

4.1. Appointment of Agent
Lookcard Limited (the “Company”), a corporation organized and existing under the law of Hong Kong Special Administrative Region (HKSAR), with its head office located at 19A, Soundwill Plaza II Midtown, No 1-29, Tang Lung Street, Causeway Bay, Hong Kong, may appoint you as a non-exclusive Agent under the Program. As an independent contractor, you will promote LookCard’s crypto-collateralized credit card and payment solution services. This appointment does not create a partnership, joint venture, or employment relationship.

4.2. Term
The Program term begins on the date your application to become an Agent under the Program is approved (the “Effective Date”) and continues for an initial term of twelve (12) months (“Initial Term”). It will automatically renews for successive twelve-month periods (each a “Renewal Terms”) unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.

4.3. Agent Responsibilities
As an Agent, you agree to:

  • Promote LookCard’s products and educate audiences on digital currency benefits;
  • Develop marketing strategies and build local brand presence;
  • Recruit and onboard new users and/or Agents;
  • Meet sales targets, generate leads, and provide customer support;
  • Comply with all applicable laws, including KYC and AML regulations, and use only approved materials.

 

4.4. Company Obligations
LookCard will:

  • Provide training, marketing materials, and sales support;
  • Pay Card Referral Fees and performance-based incentives;
  • Offer guidance on regulatory compliance.

 

4.5. Card Delivery

  • Within Supported Areas: LookCard handles delivery to applicants.
  • Outside Supported Areas: Cards are handed to the Agent, who assumes responsibility for secure distribution and communication with users. The Agent is liable for loss, damage, or delays post-handover.

 

5. COMPENSATION

Agents earn Card Referral Fees for successful card activations, as detailed in the table below. Fees are subject to Program criteria and payable in digital currency, i.e.: USDT, as agreed. Campaign-specific incentives may override standard rates if specified.

6. REPRESENTATIONS AND WARRANTIES

a) Agent:
You warrant legal authority to enter this Agreement, compliance with HKSAR laws, and no conflicts or litigation affecting performance.

b) Company:
LookCard warrants its legal status, compliance with HKSAR laws, and ownership of necessary intellectual property.

7. TERMINATION

a) Mutual Consent: Either party may terminate with 30 days’ written notice.

b) By Company: Immediate termination for Agent’s material breach, insolvency, or legal violations (with a 30-day remedy period for breaches).

c) By Agent: Immediate termination for Company’s material breach, insolvency, or fraud.

d) Effect: Accrued rights survive termination; confidential information must be returned or destroyed. Surviving provisions include confidentiality and indemnification.

8. NO WARRANTIES

The Website and Program are provided “as is,” with no warranties, express or implied, regarding functionality, accuracy, or suitability.

9. LIMITATION OF LIABILITY

LookCard, its officers, directors, and employees are not liable for any damages (direct, indirect, or consequential) arising from your use of the Website or participation in the Program, except as required by law.

10.INDEMNIFICATION

You indemnify LookCard against all losses, costs, damages, and expenses (including legal fees) arising from your breach of these Terms or misrepresentations.

11. FORCE MAJEURE

Neither party is liable for delays due to events beyond their control (e.g., natural disasters, war). Termination is permitted after 30 days of continuous impact.

12. CONSENT TO COMMUNICATION

You consent to LookCard using your mobile number for notifications and marketing related to these Terms.

13. TRANSFER RESTRICTIONS

Agents may not transfer their Program rights without LookCard’s prior written consent. Unauthorized transfers are void and may result in termination.

14. GENERAL PROVISIONS

a) Amendments:

LookCard reserves the right to amend these Terms at its sole discretion. Any changes will become effective upon notice. Your continued participation in the Program after such notice constitutes your acceptance of the revised Terms.

b) Access to Referral Data:

To facilitate accurate tracking and calculation of referral incentives, Agents may be granted access to limited information relating to the users they have directly referred. This includes the referred user’s name, contact details, transaction amount etc, solely for the purpose of verifying commission entitlement.

By joining the LookCard Community Partnership Program, you acknowledge and agree that:

  • Such information is strictly confidential and must only be used for internal reference within the scope of the referral program;

  • You are prohibited from sharing, publishing, or disclosing this information to any third party;

  • Any misuse or unauthorized disclosure of personal data may result in immediate termination from the Program and potential legal consequences;

  • The Company reserves the right to audit and revoke access at any time.

b) Severability:

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

c) Entire Agreement:

These Terms represent the entire agreement between the parties regarding the subject matter herein and supersede all prior discussions, communications, or agreement.

d) Governing Law & Jurisdiction:

These Terms are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any disputes arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong and resolved on an individual basis only.

Cross-Border Access Restrictions

Please be advised that the promotion or distribution of our products and services beyond Hong Kong may be subject to regulatory requirements. The content on this website is intended solely for residents of Hong Kong.
