COMMUNITY PARTNERSHIP PROGRAM

1. INTRODUCTION

The Community Partnership Program (the “Program”) is an initiative by Lookcard Limited (the “Company”) designed to promote collaboration with eligible participants (the “Participants”) to achieve mutual goals for community enrichment. These Terms and Conditions govern participation in the Program and outline the roles, obligations, and responsibilities of both parties. By enrolling in or participating in the Program, Participants agree to abide by these terms and conditions.

 

2. ELIGIBILITY CRITERIA

To participate in the Program, applicants must meet the following criteria:

  • A registered user of lookcard.io platform
  • Align with the Program’s objectives
  • Demonstrate compliance with local laws and regulations
  • Exclude activities or initiatives that may conflict with public interest, ethical standards, or the Company’s values.

The Company reserves the right to verify eligibility and disqualify any Participant at its sole discretion.

 

3. APPLICATION PROCESS

  • Applicants are required to complete and submit their applications exclusively through the designated application form available on the official website.
  • Applications will be reviewed based on:
    • Alignment with Program objectives.
    • Feasibility and sustainability of the proposed target market.

The Company reserves the right to approve or reject applications at its discretion without providing a reason.

 

4. PARTNERSHIP OBLIGATIONS

4.1. Participant Responsibilities
Participants are required to:

  • Participants must successfully complete the required training program provided by the Company to gain an in-depth understanding of the product, project objectives and operational guidelines.
  • All tasks must be executed in strict adherence to the approved proposal, timeline, and the Key Performance Indicators (KPIs) provided by the Company. Adherence to these KPIs is mandatory to qualify for incentives or additional benefits.
  • Participants are expected to demonstrate full commitment to the partnership program by meeting all agreed deadlines, maintaining professional standards, and ensuring the highest level of accountability.
  • All resources provided by the Company must be used exclusively for the purposes outlined in the agreement.
  • Detailed and accurate records of all activities and project milestones must be maintained. These records should be readily available for review upon request.
  • Participants must provide regular progress update, impact evaluations, and detailed financial statements as specified by the Company. Reports should be clear, accurate, and submitted within the required deadline.
  • Participants must comply with all applicable local, national and international laws, including but not limited to safely regulations, anti-corruption standards, and ethical practices. Non-compliance will result in termination of the partnership.
  • Periodic assessments and evaluations conducted by the Company must be attended to review project performance, address challenges, and implement improvements.

4.2. Company Responsibilities
The Company commits to:

  • Offer comprehensive advisory and technical support as outlined in the agreement ensuring that Participants have necessary guidance to execute their task effectively.
  • Continuously monitor the progress against agreed deliverables, timelines, and KPIs.
  • Provide constructive feedback and recommendations to address challenges and optimize project outcomes.
  • Actively facilitate networking opportunities, connecting Participants with key stakeholders, and offering access to capacity-building resources such as training, workshops or mentorship programs to enhance project implementation.
  • Recognize and respect the autonomy of Participants in managing and delivering their goals, while maintaining open lines of communication to provide support as needed.

 

5. INTELLECTUAL PROPERTY (IP)

  • Any intellectual property created during the partnership shall be managed as follows:
    • The IP created as a result of the partnership will remain the sole property of the Participant.
    • However, the Company retains a non-exclusive, royalty free license to use the IP for promotional, educational, or reporting purposes, ensuring a proper credit is given to the Participants.

6. CONFIDENTIALITY

  • Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the Program.
  • Disclosure of such information is prohibited unless required by law or mutually agreed in writing.

7. REPORTING AND ACCOUNTABILITY
Participants are required to:

  • Submit periodic progress reports, including key performance indicators (KPIs), project milestones, and challenges encountered.
  • Participate in Program evaluations and audits conducted by the Company.

Failure to comply with reporting requirements may result in suspension or termination.

 

8. TERMINATION OF PARTNERSHIP

This partnership may be terminated under the following conditions:

a) Termination by Either Party:
Either party may terminate the partnership by providing at least 30 days’ written notice to the other party.

b) Termination by the Company:
The Company reserves the right to terminate the partnership immediately under the following circumstances:

  • Breach of Terms: Any breach of these Terms and Conditions or the specific provisions outlined in the partnership agreement.
  • Misuse of Resources: Mismanagement, misuse, or unauthorized use of funds, materials, or other resources provided under this partnership.
  • Reputation Risk: Any actions or activities undertaken by the Participant that could potentially harm the reputation, integrity, or operational interests of the Organizer.

Upon termination, all resources must be returned, and a final report detailing completed activities must be submitted.

 

9. LIMITATION OF LIABILITY

  • The Company is not liable for any losses, damages, or liabilities incurred by Participants during project implementation.
  • Participants agree to indemnify and hold the Company harmless from any claims, actions, or damages arising from their participation.

10. DISPUTE RESOLUTION

  • Any disputes arising under these T&Cs shall first be resolved through good-faith negotiations.
  • If unresolved, disputes shall be submitted to the Hong Kong MediationCentre.
  • The decision of the mediator/ arbitrator will be final and binding.


11. AMENDMENTS

The Company reserves the right to amend these T&Cs at any time. Participants will be notified of changes in writing, and continued participation in the Program constitutes acceptance of the revised T&Cs.

 

12. GOVERNING LAW

These T&Cs shall be governed by the laws of Hong Kong Special Administrative Region (HKSAR).

 

13. ACCEPTANCE OF TERMS

By participating in the Program, Participants confirm that they have read, understood, and agreed to these Terms and Conditions.
